麻烦大家帮忙看看律师起草的附加条件

买房进入尾声了,由于双方的原因,交换合同和completion相隔1个月左右。按说交换合同以后买家开始买保险,可是这一个月卖家还住在里面。律师提醒我,如果我买保险,中间出了任何问题,都要我来claim,于是给卖方律师讨论这一个月期间卖方继续买保险。可是我的疑问是,即使他们买保险,出了事也可以不claim,不维修吧。于是律师帮我起草了以下条约限制卖方,大家帮忙看看有什么问题。有点不明白这个policy是什么?是保险?

(a) do everything necessary to maintain the policy
(b) permit the buyer to inspect the policy or evidence of its terms
(c) if before completion the property suffers loss or damage:
(i) pay to the buyer on completion the amount of the policy monies which the seller
has received, so far as not applied in repairing or reinstating the property, and
(ii) if no final payment has then been received, assign to the buyer, at the buyer’s
expense, all rights to claim under the policy in such form as the buyer reasonably
requires and pending execution of the assignment hold any policy monies
received in trust for the buyer
(d) cancel the policy on completion.

这里指的policy就是insurance policy, 一般指building insurance policy. 通常情情况,buyer should have building insurance policy in place from the date of exchange, 即交换当天就保险就应该cover到。

我们的seller答应由他来买保险cover从交换合同到completion期间,我就不用买了,所以我的律师才起草这个附加条款。主要原因是,这期间因为seller还住在里面,如果发生任何事,都由seller向保险公司claim。就是防止大的问题发生。我的律师说,他之前一个客户,交换了合同,买了保险,还没住进去,被一个酒驾开车直接撞上房子。自己claim了大量保险。现在我的问题是,律师说了这么多,其实不知道他说了什么 {:5_134:}

真是没看懂(i) (ii)

(i)的意思就是,卖家claim了,收到保险赔偿金,在completion时还没花在维修上的这部分要给你。也就是不管卖家只claim、不维修,还是没来得及花钱修完,都不能白落了剩余赔偿金。

(ii)的意思是,claim了,但直到completion时还没收到赔偿金,卖家要把这个收到赔偿金的资格转给你。也就是保险处理需要时间,还是不能因此让他白落了赔偿金。

总之,这两条都是避免卖家claim后吞掉赔偿金。

至于你说担心他不claim,我不知道哪一条可以制约。要不要建议律师再加个(iii)啊。
